Working draft for review
Fulfillment Service Agreement
These proposed terms explain how Hidden Key would handle a client's inventory and orders. A client-specific quote, service schedule, and signatures are required before any service agreement takes effect.
The final agreement will name the legal parties and facility and identify the products, services, pricing, insurance, carrier arrangements, time periods, and special handling instructions. The current draft is under review and may change.
1. Services and instructions
Hidden Key performs only the receiving, storage, inventory, pick and pack, kitting, shipping, returns, and related tasks listed in a signed service schedule. Changes to instructions, services, or prices require written approval from both parties.
2. Products and information
The client retains ownership of its goods and provides accurate SKU, quantity, weight, value, legal, and handling information. Restricted, hazardous, perishable, temperature-sensitive, or unusually valuable goods require advance written approval.
3. Receiving and records
Incoming shipments need advance notice and clear identification. Hidden Key records quantities and apparent condition according to the agreed receiving procedure. Detailed inspection and hidden-defect testing require a separate service. Inventory reporting is defined in the service schedule.
4. Care and insurance
Hidden Key uses the care a reasonably careful warehouse would use under similar circumstances. The client discloses expected inventory value and maintains appropriate inventory and product coverage. Provider insurance and any agreed limit for loss or damage must be stated in the signed service schedule and comply with Alabama law.
5. Fulfillment and shipping
Hidden Key follows approved packing instructions, checks SKU and quantity, records tracking where available, and documents carrier handoff. Postage is funded under the signed billing arrangement. Carrier transit and delivery are subject to carrier terms; Hidden Key remains responsible for its own service errors.
6. Fees and payment
A signed quote controls the rates for selected services. Unquoted standard services may use an attached rate sheet. Invoices show service charges separately from postage and outside costs. The payment due date, monthly minimum, and rate-change notice will be completed in the service schedule.
7. Returns and exceptions
Returns follow the client's written rules. Damaged, questionable, or recalled goods are set aside for instructions. Inspection, storage, handling, and disposal terms are agreed in writing.
8. Data and brand materials
Each party uses the other's confidential information only to provide the services. Hidden Key uses reasonable safeguards for order data and may use brand files only for the client's work. Neither party may publicly announce the relationship or use the other's marks without permission.
9. Errors and claims
The client reports a known inventory, packing, or billing error with supporting details. Hidden Key investigates and corrects verified service errors where practicable. Both parties cooperate on carrier claims. The reporting window is set in the service schedule.
10. Ending services
Term, renewal, notice, and cure periods are set in the signed schedule. At exit, the parties reconcile charges and arrange an inventory count and transfer. Demands to remove goods and any warehouse lien or sale must follow applicable Alabama law.
11. Responsibility and disputes
Each party is responsible for losses caused by its own breach, negligence, or willful misconduct, subject to applicable law and the signed terms. Representatives first try to resolve disputes directly. Alabama law governs the agreement.
12. Final documents
The final signed agreement and service schedule control, followed by the approved quote and any attached rate sheet according to their stated order of priority. An online inquiry or review of this preview does not create a service contract.
